General Electric MOU Agreement for Equipment Supply Contract – Turbines (United States)

  • Key member in closing $720 Million MOU
  • Agreement for purchase, leasing, and option of GE steam turbines. Designed and formulated the term sheet for Engineering, Procurement and Construction Contract with General Electric and General Contractor for ($420 million). Assisted with closing of Assignment of interest and in setting up special purpose entity for assignment of turbines from another company ($120 million).

Lujan de Cuyo Joint Development Agreement (YPF S.A.) (Mendoza, Argentina)

  • Key member of a three person team. The project was for a 300 MW cogeneration plant for the generation of steam and electricity near the city of Lujan de Cuyo between GEC Alsthom and Nor Oeste Pacifico Generacion de Energia Limitada. The project was designed to be owned and operated by a special purpose company- 60% Entergy and 40% YPF- created only for this project. The project will be inside the property of the YPF refinery, and will generate steam to send to the refinery. Electricity is supposed to be generated at the same time, and will be stepped up to 220kv to be interconnected to the national grid system.

Divestiture and Spin Off of Three Latin American Companies (Argentina, Peru, Chile)

  • Key member of team analyzing and preparing package to divest ownership in three Latin American partnerships, joint ventures and companies. Total value of all three ownership interests approximately $45 million i.e. $25, $6, and $14 respectively.

Equitorial Guinea $320 Million Turnkey Contract (Raytheon) (Africa)

  • Heads of Agreement between the partners. One of two key members of team negotiating business agreement and intention of the parties.
  • Joint Development Agreement. One of two key members of team negotiating the agreement between the partners including all relevant commercial aspects of equity participation, company organization, structure, operations parameters and option for governmental participation.
  • $320 Million Turnkey Contract (Raytheon). One of two key members negotiating all commercial terms of transaction including base commercial terms, letter of credit, guarantees, warranties, scheduling, taxation, entities, and processing.

Central Atacama $350 Million Turnkey Contract (GEC Alsthom) (Argentina and Mejillones, Chile)

  • One of three key members for Central Atacama with Owner Developer and GEC Alsthom. Negotiated all commercial terms including base commercial terms, letters of credit, guarantees, warranties, scheduling, taxation, entities and equipment supply.

Saha Patna Joint Venture Agreement (Jurong) (Thailand)

  • The Sahacogen Co., Ltd. combined cycle cogeneration project was designed to produce 122 megawatt of net electrical power. The project was to provide 90 megawatt to EGAT under the SPP Program and up to 32 megawatt and 89,300 lbs./hr of steam to the industrial park tenants at the maximum load condition. (Estimated project value $66 Million).

Rojana Joint Venture Agreement (Jurong) (Thailand)

  • The Rojana Power Co., Ltd. Combined Cycle Cogeneration Project was designed to produce 122 megawatts of net electrical power. The project was to provide 90 megawatt to EGAT under the SPP Program and up to 32 megawatt and 95,500 lbs./hr of steam to the industrial park tenants at the maximum load condition. (Estimated project value $66 Million).

Kabirwala, Pakistan $120 Million Turnkey Contract (Fauji) (Pakistan)

  • Heat recovery from gas turbine exhaust was to generate steam for this 166 megawatt combined cycle cogeneration plant that was designed and constructed by Zurn/NEPCO for Fauji Kabirwala Power Company Ltd. in Kabirwala, Pakistan. Construction was scheduled to be completed in 22 months.

Fraser $100 Million Turnkey Contract (Noranda Paper) (Canada)

  • Wood waste, almost 1900 tons per day, was the primary energy source for this 38.5 megawatt wood waste-to-energy plant designed and constructed by Zurn/NEPCO for Noranda Forest/Fraser Paper in Edmundston, New Brunswick, Canada. Construction was scheduled to be completed in 21 months.

Smithfield $100 Million Turnkey Contract (Sithe Energies) (Australia)

  • Heat recovery from gas turbine exhaust was to generate steam for this 160 megawatt combined cycle cogeneration plant designed and constructed by Zurn/NEPCO in joint venture with Transfield Technologies for Sithe Energies in Smithfield, NSW, Australia. Construction began in February 1995 and was scheduled for completion in November 1996.
